Terms of Service ("CGU")

1. Acceptance of Terms

By accessing or using the RFPClarify service ("Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access the Service.

2. Description of Service

RFPClarify is an AI-powered software-as-a-service platform designed to assist businesses in responding to Requests for Proposals (RFPs). The Service reads RFP documents, extracts requirements, mandatory and pass/fail items and scoring criteria into a compliance matrix, and can draft answers from documents that you upload to your knowledge base.

3. User Responsibilities & AI Output

You are solely responsible for the accuracy and legality of the documents you upload and the final proposals you submit. RFPClarify does not guarantee the accuracy, completeness, or suitability of AI-generated output, including extracted requirements and draft answers. You must check the extracted requirements against the original RFP and review and edit all AI-generated content before submitting it to any third party. RFPClarify is a tool to assist human writers, not a replacement for professional judgment.

4. Free Trial, Subscription & Payments

New users may start a free trial of 7 days, without a payment card. The trial is limited to one per person or organization; we may refuse or end a trial that we reasonably believe is being repeated or abused. After the trial, the Service requires a paid subscription. Fees are billed in advance on a monthly basis (or annual basis, where offered). All payments are non-refundable. We reserve the right to change our pricing with 30 days' notice.

5. Acceptable Use

The Service is licensed for your own business use only. You agree not to: (a) resell the Service, or offer its output as a paid service to third parties, without our written agreement; (b) share your account or login credentials with people outside your organization; (c) access the Service by automated means, such as scripts or bots, or attempt to bypass usage limits; (d) upload documents that you have no right to use, or that contain unlawful content; or (e) interfere with the security or operation of the Service.

Use of the Service must remain reasonable for a single organization. We may apply usage limits, and we may limit or suspend accounts whose usage is clearly excessive or contrary to these Terms.

6. Data Ownership & Security

You retain all rights to the documents you upload and the responses you generate. We do not use your proprietary data to train our AI models. To provide the Service, your documents are processed by our infrastructure and AI service providers. We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.

7. Disclaimer & Limitation of Liability

The Service is provided "as is" and "as available", without warranties of any kind. To the maximum extent permitted by law, RFPClarify is not liable for indirect or consequential damages, including lost contracts, lost profits, or the rejection of a proposal, and our total liability is limited to the amount you paid for the Service in the three months before the claim.

8. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will immediately cease.
